meterless Terms of Service

Version 1.3. Effective 6 October 2026.

Paid subscriptions are not yet open. These Terms apply to you from the day you subscribe.

These Terms are the agreement between you and Meterless Limited for the meterless service. Please read them. If you are a consumer and anything in them is unclear, the unclear part is read in your favour.

1. Who we are

Meterless Limited is registered in the Innovation City free zone, Ras Al Khaimah, United Arab Emirates (licence 01011566). Our office is Office A, Innovation City Business Centre, RAK Bank ROC Office, Sheikh Mohammed Bin Zayed Road, Ras Al Khaimah 30099, United Arab Emirates. In these Terms we are "meterless", "we" and "us".

Our representative for data protection in the European Economic Area, the United Kingdom and Switzerland, and our legal representative in the European Union under the EU Digital Services Act, is DataRep. DataRep's details are in section 1 of the Privacy Notice, and its postal address for each country is listed at the end of that notice.

Points of contact under the EU Digital Services Act. For authorities: our legal representative DataRep, at digitalrequest@datarep.com (full details in section 1 of the Privacy Notice). For users of the service: support@meterless.com, where messages are not handled by automated tools alone. We communicate in English.

Contact: legal@meterless.com for these Terms. For data protection, you can contact our representative DataRep (Privacy Notice, section 1) or us at privacy@meterless.com.

2. What meterless is

meterless is a monthly subscription that gives you a GPU studio you open in your browser, with a fixed number of hours each month, a fixed amount of storage, and a fixed price. We run the studio on professional data-centre hardware that we source, hold and manage. You never deal with the hardware supplier. You buy meterless from our reseller Paddle (section 7); the service itself, its support and the make-good come from us.

The studio comes pre-configured with open-source creative AI tools. Which tools, and which models, is described on the site and may change over time. Section 9 explains what changes we may make.

meterless is for people aged 18 or over. By subscribing you confirm you are 18 or over and that, if you subscribe for a business, you may bind that business. If you give a VAT, GST or other tax registration number at checkout, or tell us you subscribe for a business, you confirm that you subscribe as a business customer, and the business terms in these Terms apply.

3. Your account

You need an account to subscribe. You sign in by a link sent to your email address or with your Google account, with an optional second factor. Your email address is your account identity either way, and the email link always works even if you usually sign in with Google. The details you give us must be true and complete. You are responsible for keeping your email account, your Google account and any second factor secure, and for everything done through your account until you tell us it has been compromised.

One person per account, and one plan per account. You may not share sign-in access, and you may not sell, rent or pass on your studio or your hours to anyone else.

Where your studio runs depends on your country. We work it out from the country you give us at signup, the country of your connection when you sign up and when you pay, and your billing country. If any of these is in the EEA, the UK or Switzerland, your studio runs on data-centre capacity inside the EEA or the UK whenever it is available. When it is not, your studio may run in Canada or the United States, on a supplier under a data-processing contract, with the standard transfer clauses for the United States. Either way, your saved files are kept in storage located in the European Union. Otherwise your studio may run on any of our capacity, including in the United States. If the country you give us and the country of your connection differ, we ask you to confirm your country, and until you do we treat your account as European. Tell us if your country changes. The Privacy Notice has the detail.

meterless is not available in the places, or to the people, listed in section 9 of the Acceptable Use Policy, which covers the Kingdom of Saudi Arabia, sanctioned countries and regions, countries our suppliers' export-control conditions exclude, and people on sanctions or restricted-party lists. We check for this at signup and afterwards. We may suspend at once, and close, an account that fails the check. If you gave true details and did not use a VPN, proxy or false address to get around the check, the closure is not for breach: we refund the unused part of your month under section 12, unless the law prevents it. Otherwise the closure is for breach (section 12).

4. Plans, prices and hours

The plans, their monthly prices, their monthly hours and their storage are shown on the Plans page when subscriptions open, and at checkout. The figures at checkout are the ones you are buying; if the Plans page and checkout ever differ, checkout governs and we correct the page. Prices are shown in US dollars before tax. Where VAT, GST or sales tax applies to you, the total including it is shown beneath the price and again at checkout before you confirm. We may decline an order, for example where we have no capacity for your plan or a check fails; if we have taken payment, we refund it in full. If a price at checkout is obviously wrong, we may cancel the order and refund you in full.

Hours are used while your studio is running. A paused studio uses no hours. Idle protection pauses your studio automatically after 20 minutes without activity, so that idle time does not use your hours. Activity includes GPU work your studio is doing.

Hours used are measured by our metering and shown on your account page. If you think a figure is wrong, tell us within 30 days and we will check it and correct any error. Hours are used soonest-expiring first: hours carried from last month, then this month's plan hours, then this month's credit hours, then this month's top-up hours.

When your hours for the month are used, your studio pauses and we ask what you would like to do: buy a top-up, change plan, or wait for the next month. Your files stay on your disk either way. Nothing is charged without your asking for it.

Base plan hours do not carry over to the next month. This is part of what makes a flat price possible. Hours you buy as a top-up are different: any left at the end of the month you bought them in carry into the next month and expire at the end of that month.

We do not publish or use a per-hour price for the plans, and we do not bill by the hour.

5. Subscription, renewal and cancellation

Your plan is a monthly subscription. It starts on the day you subscribe and renews on the same day each month, charged by Paddle (section 7) to the payment method you gave at checkout. We send you a reminder by email 7 days before each renewal, stating the amount and how to cancel. A reminder that does not arrive does not affect the renewal or your right to cancel.

If a price changes. We tell you by email at least 30 days before a price change applies to you, and it applies only from your next renewal after that notice. You may cancel before it takes effect and pay nothing more. Founding members have the additional protection in section 6.

You may cancel at any time from your account page, in one click. Cancellation takes effect at the end of the month you have paid for; you keep the studio until then and nothing further is charged. There are no calls, no retention offers and no fees to cancel. You may also cancel through Paddle, using the link in your subscription confirmation email or at paddle.net.

If a renewal payment fails, we or Paddle tell you by email, and Paddle tries again over up to 30 days. Your new month's hours are added when the payment succeeds; until then you can use any top-up or credit hours you still have, and your studio pauses when they run out. If payment has not succeeded within 30 days, your plan ends, and your storage is kept for 30 days after that, as section 8 says.

You may upgrade at any time. An upgrade takes effect at once and starts a new monthly period from that day: you pay the new plan's price, less a credit for the share of your current plan's hours you have not used, and you get the new plan's full hours straight away. Your top-up and credit hours stay. A change to a lower plan takes effect at your next renewal.

6. Founding members

If you subscribe as a founding member (by invitation from the waitlist), the monthly price of the plan you buy will not rise for 12 months from your first paid month, for as long as your subscription stays continuously paid. If the price falls, you get the lower price. If your subscription lapses, the lock ends; if you rejoin, you pay the then-current price. Changing plan takes the current price of the new plan. Hours, top-ups and make-goods are not locked.

The founding cohort is limited to the first 20 paid members admitted by invitation. When that number is reached, invitations stop.

7. Payment, tax, withdrawal and refunds

Our reseller, Paddle. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders: you buy your subscription, top-ups and plan changes from Paddle, and Paddle's Buyer Terms apply to that purchase. Paddle takes payment, issues your receipts, and handles billing questions and refund requests. We provide the studio and support for it, and these Terms govern your use of meterless. For a billing question you may contact Paddle through paddle.net, or us at support@meterless.com.

Payment. You pay on Paddle's checkout by card or another method shown there. Your card details are entered on Paddle's checkout and never reach our systems. A card payment shows on your statement as PADDLE.NET* METERLESS; a PayPal payment shows as PAYPAL *PADDLE.NET.

Tax. Paddle works out any VAT, GST or sales tax from your location and billing details, adds it to the price, shows it before you confirm, and accounts for it to the tax authority. Your receipts come from Paddle by email.

Refunds. A payment is refunded only under Paddle's Refund Policy, in the cases these Terms and the Refund Policy set out, or where the law gives you a right to a refund, including the right to withdraw below. Cancelling stops future payments; it does not by itself refund the month you have paid for. If one of these cases applies, ask Paddle at paddle.net or by email to help@paddle.com. If a subscription payment is refunded, your subscription ends and your studio closes. We keep your storage for 30 days, as section 8 says. If a top-up is refunded, its remaining hours are removed.

Right to withdraw (UK, EEA and Swiss consumers). If you are a consumer in the United Kingdom, the European Economic Area or Switzerland, you may withdraw from a subscription within 14 days of starting it, and from a top-up within 14 days of buying it, without giving a reason. To withdraw within those 14 days, use the "Withdraw from contract here" button on your account page, or contact Paddle, which sold it to you: through the Paddle Customer Portal, using the "Manage subscription" link in your Paddle confirmation email; at Paddle's buyer support site, paddle.net; or by email to help@paddle.com. You may use the model form at the end of these Terms, but you do not have to. The button is on your account page throughout the 14 days; after you press "Confirm withdrawal", we email you an acknowledgement showing what you sent and the date and time we received it. You receive your refund through Paddle, to the payment method you used, no later than 14 days after you withdraw. If you withdraw from your subscription, it ends and your studio closes. If you withdraw from a top-up, its remaining hours are removed.

Before your studio first starts, and each time you buy a top-up, we ask you to confirm that you want it to start during the 14-day withdrawal period, and we confirm your choice by email. If you do not confirm, your studio or top-up does not start until the 14 days have ended. If you confirm and then withdraw, we keep the share of the price that matches the share of the hours you have used, and refund the rest. Example: on a plan of 400 hours, withdrawing having used 20 hours keeps 5% of the price, and you get the other 95% back.

Chargebacks. If you think a charge is wrong, please contact Paddle or us first. If you dispute a payment with your bank or card issuer, we may pause your studio, and any top-up bought with that payment, while the dispute is open. If the dispute is decided in your favour, we treat the payment as refunded under this section. If it is decided against you, we may close your account as for a breach. Nothing here limits any right your card issuer or the law gives you.

Other refunds. If we take a payment and cannot provide your studio within 24 hours, we refund it in full under the Make-Good Policy, in place of any credits for that payment. The Refund Policy sets out every case in one place. Nothing in these Terms limits any refund right you have by law.

8. Your content and your storage

Your content is yours. Everything you put into your studio and everything you make in it (your files, prompts, models, checkpoints, outputs and the saved state of your studio) belongs to you. We take no licence to it beyond the one needed to run the studio for you and to meet our legal obligations: to store, copy, back up, snapshot and restore it across our machines and data-centre suppliers, to send it to a third-party model service you choose (below), to check it, and to disclose it, as section 10 of the Acceptable Use Policy allows, and to disclose it where the law requires. No person reads it as a matter of course, and we do not publish it or use it to train any model, ours or anyone else's. Your work is private on every plan.

Output. As between you and us, you own the output your studio produces, to the fullest extent the law allows. Some models carry their own licence terms from the model's author, and those terms may set conditions on how output may be used. The licence for each model is linked on its page in the studio, and by using a model you agree to its licence. Where a model's licence conflicts with this section, the model's licence governs for output made with that model. We give no warranty that output is original or does not infringe someone else's rights; AI models can reproduce things they were trained on, and you are responsible for checking output before you publish or sell it.

Third-party tools inside the studio. Some tools in the studio (for example a coding assistant) connect to a third party using your own account and key with that provider. That provider bills you directly under its own terms; we do not mark it up or see it. Tools that run on your own GPU use only your plan hours.

Models run by third parties. A few models may run on a third-party service instead of your studio's own GPU. Where that is so, the model's page says so before you use it, and your prompt and inputs for that model are sent to that service under its terms. We never send your identity or account details with them.

Storage and grace period. Your plan includes the storage stated for it. If your plan ends for any reason other than deleting your account, we keep your storage for 30 days after the day it ends so you can export it or come back; after that it is deleted. This grace period does not apply where we close your account for a breach of section 1 of the Acceptable Use Policy or for a sanctions reason, or where the law or an authority requires otherwise; in those cases we may withhold access to and export of your storage, and keep or delete it as the law requires. If you delete your account, export first: deletion completes within 30 days of your request, as section 12 says.

Keep your own copy. We snapshot your studio when you pause and keep an encrypted copy, and the Make-Good Policy says what we do if we lose one. We do not guarantee to recover data you delete yourself, so keep your own copy of anything you cannot afford to lose.

9. Our service and our commitments

What we promise. We will provide the studio as described in the plan description shown at checkout and in the studio's documentation, and, except as this section allows, we will not remove or degrade the substance of what you subscribed to during a month you have paid for. If we change the service in a way that reduces what you get, we will tell you at least 30 days before it takes effect, and you may cancel before it does. We may make a change at shorter notice, or at once, where the law, a court or regulator, a model's licensor, a data-centre supplier, or a security or safety risk requires it; if that change reduces what you get, you may end your subscription and we refund the unused part of your month (section 12).

Hardware. Your studio runs on the class of GPU stated for your plan. We do not name the make of machine or the data-centre operator, and we may move your studio between machines of the same class. If we ever have to run your studio on a substitute of a different memory class, section 10 says what we do about it.

Capacity we hold and capacity we borrow. Most of our capacity is hardware we hold under our own contracts. At busy times we may also use capacity from data-centre partners on shorter terms. Either way, your contract is with us and the make-goods in section 10 apply. A partner may suspend or reclaim a machine at short notice; if that happens to yours, we move you, and the make-good covers the gap. We do not pass a partner's failure on to you as an excuse.

Availability. We do not promise the studio will never be interrupted. We promise that when it is, we make it good under section 10, automatically.

AI output and third-party materials. The studio runs open-source models we did not create. Output can be inaccurate, unexpected, offensive or similar to other people's output, and models can behave differently from version to version; check output before you rely on it. Tools and models made by others are provided under their authors' licences, and services you connect with your own account, or models run by a third party (section 8), are provided by those third parties under their terms; we are not responsible for how those services perform or what they do with what you send them. If you use meterless for business, the studio is provided as these Terms describe and otherwise as is, and we do not promise it will suit your particular purpose.

Support. Support is by email to support@meterless.com and the help pages. We aim to answer every message, and we tell you if something will take longer. There are no tiers and no premium support.

Changes to tools and models. The tools and models in the studio change over time as the open-source landscape changes. We may add, update or remove them. Removing a model does not remove your files or your checkpoints. If a change during a month you have paid for removes a tool or model you were using, or otherwise reduces what you get, you may end your subscription within 30 days of the change and we refund the unused part of that month. Adding, updating or replacing a tool or model with one that does the same job is not a reduction.

10. Make-good

The Make-Good Policy is part of these Terms. In short: if your studio does not start within 30 minutes of your asking, or is interrupted for more than 15 minutes through no fault of yours, our systems detect it and credit hours to your plan automatically, without a ticket. If you subscribe, we take payment, and we cannot provide your studio within 24 hours, we refund that payment in full. If we substitute a GPU of a lower memory class, we tell you and credit you. Credits are hours, never a per-hour sum. If you are a consumer and the policy is unclear, it is read in your favour.

11. Acceptable use

The Acceptable Use Policy is part of these Terms. It says what you may not do with the studio. Most of it is what you would expect: nothing illegal, nothing that harms others, nothing that attacks our systems or anyone else's. Several rules in it come from our data-centre suppliers or our payment provider and apply to every customer, because we cannot place your work anywhere they do not, including no sexually explicit content and no cryptocurrency mining. These are not judgments of your work; they are the conditions on which the hardware and payments are made available to us.

Section 10 of the Acceptable Use Policy explains the automated checks we may use, when we may review activity, and what we tell you afterwards. Serious breaches (anything in section 1 of the Acceptable Use Policy, and attacks on our systems) lead to an immediate pause of your studio and, once a person has reviewed it, the closure of your account, and may be reported to the authorities.

12. Ending your account

You may delete your account at any time from your account page. Export anything you want to keep first. Your subscription is cancelled, your data is marked for deletion, and you have 7 days to reverse the request. Deletion of your studio, storage and account data completes within 30 days of your request, except the records the Privacy Notice (section 5) says we keep after an account closes, such as payment records, sanctions-screening results and abuse-review records, for the periods it states, and any data preserved under section 10 of the Acceptable Use Policy.

We may suspend or end your account if you break these Terms or the Acceptable Use Policy, if a payment is not made or is reversed, or if the law, a court, a regulator or a sanctions requirement requires it. Before we act we tell you why and give you 14 days to put things right, unless we reasonably believe that doing so would cause harm or legal liability to anyone (including us or our suppliers), break the law or an order of an authority, compromise an investigation, or put the security or operation of the service at risk. We may also suspend at once where the Acceptable Use Policy allows it, where we reasonably suspect fraud or that your account has been compromised, where a payment is disputed (section 7) or a sanctions check flags your account, or where a data-centre supplier or Paddle requires it. In each case we tell you why as soon as we can, unless the law prevents it. A suspension on suspicion lasts only as long as we need to check; if the suspicion proves unfounded, we restore your studio and the make-good applies to the time lost. Pausing your studio while a renewal payment is outstanding (section 5) is not a suspension.

If we close your account for a serious or repeated breach, you do not get back the rest of the month you have paid for or any unused top-up hours, except where the law gives you a right to a refund.

We may also end your account for any other reason on at least 30 days' notice, or at once where a data-centre supplier or the law requires it. If we end your account other than for breach, we refund the unused part of your month, unless the law prevents it. The unused part of your month means the share of that month's plan hours you have not used, together with any top-up hours you bought and have not used; we also keep your storage for the grace period in section 8.

We may stop providing meterless altogether on at least 30 days' notice, in which case we refund the unused part of your month and keep your storage available for the grace period.

13. Your responsibilities

You are responsible for what you do in your studio, for the content you put in it, for having the rights you need to use that content, and for how you use what you make. You will comply with the law that applies to you, including data-protection law for any personal data you process in your studio.

You will not use the studio for anything the Acceptable Use Policy prohibits.

If you use meterless for business: you will defend, indemnify and hold harmless Meterless Limited, its officers, employees and suppliers against every claim, loss, liability, damage, fine, penalty, cost and expense (including legal fees) arising out of or in connection with (a) your breach of these Terms or the Acceptable Use Policy, (b) your content or anything made with your studio, or (c) your breach of any law or of anyone's rights. We will tell you of any claim within a reasonable time; a delay relieves you only to the extent it prejudices you. You may conduct the defence with lawyers we reasonably accept, but we may take over or join it at your cost where the claim is brought by an authority or a data-centre supplier, concerns sanctions or criminal law, or could harm our business. Neither of us settles a claim in a way that admits fault for, or imposes an obligation on, the other without the other's consent, which will not be unreasonably withheld. This indemnity does not apply to the extent a loss is caused by our breach of these Terms or our negligence, and covers fines and penalties only where the law allows.

If you are a consumer: you are responsible for loss and costs we suffer because you broke these Terms or the Acceptable Use Policy, including amounts we have to pay others and our reasonable legal costs, where that loss was a foreseeable result of your breach. This does not take away any right you have by law.

14. Our liability

If you are a consumer. We are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill. We are not responsible for loss that is not foreseeable. We are not responsible for loss caused by something outside our reasonable control that we could not have avoided by reasonable steps. We are not responsible for loss you could have avoided by keeping your own copy of your data, as section 8 asks. We supply meterless for your own use; if you use it for a commercial, business or resale purpose, we are not responsible to you for loss of profit, business, business opportunity or revenue. Any credit or refund we give you for a failure counts towards any compensation the law gives you for that same failure. Nothing in this section limits your rights under the law of the country where you live.

If you use meterless for business. Our total liability to you for all claims arising in any 12-month period is limited to three times the monthly subscription fee for your plan at the time of the event giving rise to the first claim. We are not liable for loss of profit, revenue, business, contracts, goodwill or anticipated savings, for loss or corruption of data (except the lost-snapshot credit in the Make-Good Policy), for wasted expenditure or the cost of substitute services, or for any indirect or consequential loss. The Make-Good Policy is your sole and exclusive remedy for failed starts, interruptions, substitute GPUs, provisioning failures and lost snapshots. Except as these Terms state, all terms implied by law are excluded to the fullest extent the law allows.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit. If you are a consumer, nothing in these Terms affects the rights you have by the law of the country where you live.

15. Changes to these Terms

We may change these Terms. If a change reduces your rights or increases your obligations, we tell you by email at least 30 days before it takes effect, and you may cancel before it does; if you keep using meterless after that date, the new Terms apply. Changes that only add features, fix errors or are required by law may take effect on posting. Changes to the Acceptable Use Policy required by law, by a data-centre supplier's or Paddle's rules, or to deal with a new risk to safety or security, may apply as soon as we tell you, as that policy says. The version and date are at the top of this page, and past versions are available on request.

16. Law and disputes

The law that applies. These Terms, and any dispute or claim arising out of or in connection with them or with meterless (including non-contractual disputes or claims), are governed by the law of the Dubai International Financial Centre (DIFC).

If you are a consumer (you use meterless mainly for purposes outside your trade, business, craft or profession):

If you use meterless for business:

Language. These Terms are in English. If they are translated, the English version prevails, except where the law of the country where a consumer lives requires otherwise.

If something goes wrong, please contact us first at legal@meterless.com so we can try to put it right.

California residents. If you live in California, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

17. General

The whole agreement. These Terms, the Acceptable Use Policy, the Make-Good Policy and the Refund Policy are the whole agreement between you and us about meterless. The Privacy Notice explains how we use personal data and is not part of that agreement. Paddle's Buyer Terms govern your purchase from Paddle; if they conflict with these Terms on payment, billing, tax or the processing of refunds, Paddle's Buyer Terms govern, and on anything else these Terms govern. If you use meterless for business, you have not relied on any statement that is not in these documents.

Events outside our control. We are not responsible for failing or being late to do something under these Terms because of an event outside our reasonable control that we could not have avoided by reasonable steps, such as a power, data-centre or network outage, fire, flood, war, cyber attack, epidemic or act of government. If that happens we tell you as soon as we reasonably can and limit the effect as far as we reasonably can. This does not affect make-good credits, which apply as the Make-Good Policy says, or any refund the law gives you.

Transfer and suppliers. We may transfer this agreement to a company in our group or to anyone who takes over our business or the meterless service; we will tell you if we do, and your rights are unchanged. We use data-centre suppliers and other subcontractors to provide meterless and remain responsible to you for them as these Terms say. You may not transfer your account. Only our officers, employees and suppliers may enforce section 13 in their own favour; no one else other than you and us has rights under these Terms.

Ideas and copyright notices. If you send us ideas about meterless, we may use them without restriction or payment. To report content that infringes your copyright, email legal@meterless.com; we act on valid notices and close the accounts of repeat infringers in appropriate cases.

Other terms. If any part of these Terms cannot be enforced, the rest still applies. Our not enforcing a term is not a waiver of it. Notices to you go to your account email or appear on your account page, and are treated as received when sent; notices to us go to legal@meterless.com.
